These Terms of Use ("Terms") are a legal agreement between you ("you" or "user") and the developers and contributors to the Adledger protocol (collectively, "Adledger," "we," "us," or "our"). These Terms govern your access to and use of our website, https://adledger.net/ (the "Site"), and your interaction with the Adledger open-source, decentralized advertising protocol (the "Protocol").
By accessing the Site or interacting with the Protocol, you acknowledge that you have read, understood, and agree to be bound by these Terms.
// 1. The Protocol
The Adledger Protocol is a decentralized, open-source software protocol deployed on a public blockchain. It is designed to facilitate transparent, peer-to-peer relationships between advertisers and publishers for performance-based marketing, primarily crypto cashback.
We do not control the Protocol or the underlying smart contracts. We cannot reverse, modify, or block any transaction you submit. All interactions with the Protocol are peer-to-peer and managed by the decentralized blockchain.
// 2. Eligibility
You must be at least 18 years of age and have the full right, power, and authority to enter into and comply with these Terms. If you are using the Service on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. You further represent that you are not a resident of, or located in, any jurisdiction subject to sanctions or embargoes.
// 3. Your Responsibilities & Assumption of Risk
Your use of the Protocol is entirely at your own risk.
No Fiduciary Duty: We are not your agent or fiduciary. We do not provide financial, legal, investment, or tax advice. Any information provided by us is for informational purposes only.
Wallet Security: You are solely responsible for securing your private keys and wallet. We do not have access to or custody of your private keys or any funds. You bear all risk of loss for any funds or digital assets.
Blockchain Transactions: Transactions on the blockchain are irreversible. You are responsible for verifying all transaction details before submission.
Advertiser Responsibility: As an Advertiser, you are responsible for correctly configuring your offers and ensuring your API endpoints are secure, accurate, and available for oracle verification.
Publisher Responsibility: As a Publisher, you are responsible for your own integration and for complying with any local laws regarding the advertising and offers you display to your end-users.
// 4. Protocol Functionality
Smart Contracts: The Protocol operates via smart contracts that hold Advertiser funds (e.g., USDC) and execute payouts based on verified conversions.
Oracles: The Protocol relies on third-party oracle services (e.g., Chainlink Functions) to securely query off-chain advertiser APIs. The accuracy and availability of this data are dependent on the advertiser's API and the oracle service. We are not responsible for any failures, errors, or inaccuracies from these external data sources.
Fees: Interacting with the Protocol requires the payment of blockchain "gas" fees, which you are responsible for. The Protocol itself may take a small, transparent commission from successful cashback transactions to support development and security, as defined in the smart contract code.
// 5. Intellectual Property Rights
Our IP: The Site, its content, and our logos are our exclusive property.
Protocol License: The Adledger Protocol is an open-source project. Your use of the protocol's code is governed by the terms of its specific open-source license (e.g., MIT License).
Advertiser License Grant: By using the Protocol, an Advertiser grants to all Publishers participating in the Protocol a non-exclusive, royalty-free, worldwide license to use, display, and reproduce their ad content, logos, and trademarks ("Advertiser Content") for the sole purpose of promoting the Advertiser's offers through the Adledger Protocol.
// 6. Intellectual Property Rights
You are solely responsible for all content you make available through the Protocol. You agree not to engage in, or assist any third party to engage in, any of the following Prohibited Activities:
Prohibited Content:
Content that is illegal, hateful, harassing, discriminatory, or promotes violence.
Content that infringes on any third party's intellectual property (copyright, trademark, patent).
Content that is deceptive, misleading, or fraudulent (e.g., phishing links, scams, false claims).
Content containing malware, spyware, viruses, or other malicious code.
Content related to illegal products or services.
Prohibited Conduct:
Engaging in "Ad Fraud," including but not limited to fake clicks, bot-driven impressions, or any other means of artificially inflating conversions.
Intentionally providing a false, misleading, or non-functional API for oracle verification.
Using the Protocol to launder money or finance illicit activities.
Using any automated means (e.g., bots, scripts) to interfere with or disrupt the Protocol or Site, other than through the provided and documented SDKs.
We reserve the right to facilitate the removal or blocking of any content or user that we, in our sole discretion, believe violates these Terms.
// 7. Data Privacy and Compliance
You acknowledge that Advertisers and Publishers act as independent data controllers for any personal data they process in connection with the Protocol.
You are solely responsible for your own compliance with all applicable data protection laws, such as the EU General Data Protection Regulation (GDPR) and the Law of Ukraine "On the Protection of Personal Data."
You represent and warrant that you have obtained all necessary user consents for any data you collect, use, or share.
Adledger acts as a technical service provider (or "data processor" in certain contexts) and does not control the personal data that may be transmitted between Advertisers and Publishers. Our collection and use of any data we do control is governed by our Privacy Policy.
// 8. Data Privacy and Compliance
You are solely responsible for determining, reporting, and remitting all applicable taxes arising from your use of the Protocol. This includes, but is not limited to, any VAT, income tax, or other taxes on revenue you receive (as a Publisher) or payments you make (as an Advertiser). We do not provide tax or financial advice and are not responsible for your tax obligations.
// 9. Disclaimers and No Warranties
THE SITE AND THE PROTOCOL ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE PROTOCOL OR SITE WILL BE SECURE, ERROR-FREE, OR UNINTERRUPTED; (B) THE SMART CONTRACTS ARE FREE OF BUGS, VULNERABILITIES, OR ERRORS; (C) THE DATA PROVIDED BY ADVERTISERS OR ORACLES WILL BE ACCURATE OR RELIABLE.
// 10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ADLEDGER OR ITS CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR FUNDS (INCLUDING FROM SMART CONTRACT FAILURE OR WALLET LOSS), ARISING FROM: (A) YOUR USE OF OR INABILITY TO USE THE PROTOCOL OR SITE; (B) ANY BUGS, VULNERABILITIES, OR FAILURES OF THE PROTOCOL'S SMART CONTRACTS; (C) ANY FAILURE, ERROR, OR DOWNTIME OF ADVERTISER APIS OR THIRD-PARTY ORACLES; (D) THE ACTIONS OR INACTIONS OF ANY THIRD PARTY; (E) ANY CONTENT, CONDUCT, OR ADVERTISING THAT VIOLATES THESE TERMS.
// 11. Indemnification
You agree to indemnify and hold harmless Adledger and its contributors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or in connection with: (a) your use of the Protocol or Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any Advertiser Content you make available.
// 12. Dispute Resolution and Governing Law
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles.
Good Faith Negotiation: The parties agree to first attempt to resolve any dispute, claim, or controversy arising out of these Terms ("Dispute") informally by contacting each other. You may contact us at operations@adledger.net.
Binding Arbitration: If the Dispute is not resolved within thirty (30) days, the parties agree that the Dispute shall be finally settled by binding arbitration in accordance with the rules of the International Commercial Arbitration Court (ICAC) at the Ukrainian Chamber of Commerce and Industry.
The arbitration shall be conducted in English or Ukrainian.
The arbitral tribunal shall consist of one (1) arbitrator.
The seat of arbitration shall be Kyiv, Ukraine.
The decision of the arbitrator shall be final and binding upon the parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
1. Miscellaneous
Changes to Terms: We reserve the right to modify these Terms at any time by posting the revised terms on the Site. Your continued use of the Site or Protocol thereafter constitutes your acceptance of the changes.
Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.
